Terms of Service

1. Agreement to Terms

By accessing or using EnsembleOS (“the Service”), operated by EnsembleOS Ltd (“we”, “us”, “our”), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

EnsembleOS is a web-based platform for choir management, providing tools for practice, rehearsal planning, repertoire management, analytics, and communication. The Service is provided “as is” and “as available”.

3. Accounts

To use the Service, you must create an account with a valid email address. You are responsible for maintaining the security of your account credentials. You must be at least 16 years of age to create an account.

Conductors are responsible for the accounts and activity of their choir members. You agree to provide accurate information and keep it up to date.

4. Billing and Subscriptions

EnsembleOS offers free and paid subscription tiers. Paid subscriptions are billed monthly or annually in GBP via Stripe.

  • Free tier: Available at no cost with limited features and storage.
  • Paid tiers: Billed at the rates displayed on our pricing page at the time of purchase.
  • Annual plans: Billed upfront for the full year at a discounted rate.
  • Automatic renewal: Subscriptions renew automatically unless cancelled before the end of the current billing period.

Singers do not pay. All billing is handled by the conductor or choir administrator.

5. Cancellation

You may cancel your subscription at any time through your billing settings. Cancellation takes effect at the end of your current billing period. No partial refunds are provided for unused time on monthly plans. See our Refund Policy for details.

6. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law.
  • Upload content that infringes third-party intellectual property rights.
  • Attempt to gain unauthorised access to the Service or its related systems.
  • Use the Service to distribute spam, malware, or harmful content.
  • Abuse, harass, or threaten other users through the chat or communication features.

7. Your Content

You retain ownership of any content you upload to the Service, including audio files, scores, notes, and messages. By uploading content, you grant us a limited licence to store, process, and display it as necessary to provide the Service.

You are responsible for ensuring you have the right to upload and share any content. We do not monitor uploaded content proactively but may remove content that violates these terms.

8. AI Features

EnsembleOS offers AI-powered features including stem splitting and content moderation. These features process your content using third-party AI services. By using AI features, you acknowledge that your content may be processed by these services in accordance with our Privacy Policy.

9. Termination

We may suspend or terminate your account if you violate these terms or engage in behaviour that is harmful to the Service or other users. Upon termination, your right to use the Service ceases immediately. We will make a reasonable effort to allow you to export your data before deletion.

10. Limitation of Liability

To the maximum extent permitted by law, EnsembleOS Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, revenue, or profits, arising from your use of the Service.

Our total liability for any claims arising from the Service shall not exceed the amount you paid us in the twelve months preceding the claim.

11. Service Availability

We aim to maintain high availability but do not guarantee uninterrupted access. We may perform maintenance, updates, or modifications that temporarily affect availability. We will make reasonable efforts to notify users of planned downtime.

12. Changes to Terms

We may update these terms from time to time. We will notify you of material changes via email or through the Service. Continued use of the Service after changes constitutes acceptance of the updated terms.

13. Governing Law

These terms are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
